THE COMPANY SECRETARY

The complexities of the business environment today have set new standards for corporate governance on Companies and its Directors. Corporate governance standards required by authorities, investors, shareholders, lenders and customers are at new highs never seen before, especially now in a healing global economic environment.

We recognize that the traditional role of just administering a company’s corporate affairs and managing the business of the board of directors (“Board”) are no longer sufficient. The responsibilities and liabilities of the Board continues to grow, therefore it is only appropriate that the supporting role of the company secretary to the Board grows in tandem.

ACCORIS sees itself not as an old school company secretary, but rather as a chief governance specialist within an organization where the Board can be more reliant on for advice and implementation of good corporate governance practices when it comes to corporate matters.

OUR ROLES

The roles of the company secretary have elements of both compliance and performance. While the legal duties have not changed enormously in the last decade, higher expectations have. At ACCORIS, we are committed to be the central source of guidance and advice on corporate matters which includes :

Managing Board processes (circulation of agenda/discussion papers, taking minutes, maintaining meeting order)
Ensuring members’ and directors’ meetings are properly convened
Ensuring records are kept in compliance with the Companies Act 2016 and Constitution
